Casey’s Rejects Hostile Bid From Couche-TardJune 8, 2010, 6:40 am
7:20 a.m. | Updated Casey’s General Stores urged shareholders on Tuesdayto reject a $1.9 billion hostile bid from Alimentation Couche-Tard, the Canadian convenience store operator.
The move by Casey’s, a Midwestern operator of convenience stores, follows Couche-Tard’s announcement of a slate of nine directors as part of a planned proxy fight.
“Our Board’s position is clear: shareholders should reject Couche-Tard’s offer and not tender their shares,” Robert J. Myers, Casey’s chief executive, said in a statement. “We believe this is a self-serving and transparent attempt by Couche-Tard to take significant value that rightly belongs to Casey’s shareholders.”
Last week, Couche-Tard, which owns the Circle K convenience stores, said it would take its $36-per-share cash offer, which Casey’s had rejected as too low, directly to shareholders in a tender offer scheduled to expire July 9.
In its statement on Tuesday, Casey’s insisted that it could generate more growth without resorting to a merger. It also argued that Couche-Tard’s offer was opportunistic and lacked committed financing.
Couche-Tard is headquartered in Canada but has more than 3,500 stores across the U.S. under such names as Circle K. Casey’s operates about 1,500 stores.

Its a short sighted move to reject the bid by Casey's. They are an antiquated company with a small town mindset. The c store market has changed dramatically in the last 5 years and Caseys has not kept up. Their stores are mostly bare and offer a limited selection of product. They are not as diverse as Kum and Go or 7-11 and operate mainly in rural areas.
More weight, more regulation, more similarity in the
cars.... that will ensure plenty of thrills for years
to come. Only the most average talent behind the
wheel will be needed with such awesome equipment on
the track!

Between my commute and work I probably drive by 40 7-11's a day and maybe stop in once a week.
Last week when I hit the midwest, dang near my first stop was Casey's for pizza.

2,000 stores by pushing mom and pops outta town. Now they've reached big boy size and they are discovering fuel margin isnt what it used to be. Quik Trip and Kum and Go are light years ahead in terms of profit per store and they do it by in store sales.
More weight, more regulation, more similarity in the
cars.... that will ensure plenty of thrills for years

That's right Artie. I have no sympathy for Caseys because they have operated as a regional "Walmart" for the last 30 years. Selling below cost and running familys out of business which have supplied and supported communities for generations. The only reason they support sprint car racing is Don Lamberty is a fan. I was at my sons Little League ball game tonight and I've not seen 1 team sponsored by Casey's even though we have 2 stores in Knoxville. So don't buy the "poor me" BS from Casey's.

I have no opinion for or against the two side involved.
I would just say ....don't bet against the Casey's management side .... they will 'destroy' the value of the current stock by diluting it and already have recently built in a 'poison pill' for any unwanted take over/suitor.
I can see Casey's stock well under 30 bucks (maybe under $25.00) a share soon after Couche-Tard withdraws ..... or simply allows their tender offer to expire in mid July.

Casey's started small and has grown. This is America! It is called capitalism...and by the way, they sponsor about everything under the sun, including a big supporter of High School athletics...and Little League in my town...
